Equity Capital Fund, Inc., provides merchant banking, consulting and financial services to client companies while creating a developmental environment to nurture tomorrow’s growth companies today. The Company has established a venture fund within the structure of a public traded company. The venture fund is a trust known as the “Class A Secured Fund”.

The Company aims to provide investors in the Fund with a rate of return of 15% over a period of approximately one year through significant capital appreciation, or a combination of competitive current income and long-term capital appreciation. Certain of the Company’s investment may, however, be liquidated earlier. There can be no assurance that the Company’s investment objective will be attained. The Company intends to invest principally in privately placed common or convertible preferred stock, but may also invest in subordinated debt or in short term “bridge” investments, or may purchase and trade stock that is publicly traded in the open market.

The Equity Capital Fund, Inc. management team brings to the Company a vast cross-section of experience, industry position and reputation in the fields of investment banking, finance, insurance, corporate operations, real estate management and development, personnel management, communications and technological skills.

LAWRENCE E. FREEMAN, President and Director

Mr. Freeman has a wealth of business experience as an entrepreneur, business consultant and civic leader. As the CEO of Raging Bull Capital, Inc., Mr. Freeman organizes and directs company marketing strategies, client management services, corporate development and capital formation programs. He has been the founder, owner, and officer of eight companies, two of which were publicly held companies.

Mr. Freeman has supported various business activities in the area of forming start-up to assisting with a troubled company turn around. His focus has been on organizational systems and the solutions process. He holds a BA from the American College, BS from the University of Las Vegas and has numerous course certifications. Mr. Freeman has been very active in community issues and has served as President for several civic organizations.
